Additionally, demonstrate a collaborative spirit, knowing that we ‘Thrive together’ and support each other’s journeys.”\nKey responsibilities:\nEvaluation of opportunities:\nWork with senior team on screening opportunities and coordinating feedback from business teams\nDevelop relations with various investment banks to obtain possible acquisition ideas/ opportunities\nSupport in identifying buyers and execution of internal divestment opportunities\nFinancial analysis and Due Diligence\nReview financial statements, cap table, management projections etc.\nSupport in appointment of external advisors as required\niii. Coordinate with cross functional teams and external advisors for undertaking due diligence\niv. Coordinate with target/bankers for information flow\nv. Co-ordinate with cross functional teams on DD outcomes, identification of risks and mitigation\nBusiness case, financial model and valuation assessment\nWork with business teams to develop projections, validate assumptions and identify synergies\nDevelop the business case/financial model for the opportunity, valuation range and return analysis\nPreparation of Presentations, Notes and Term sheets\nPrepare presentations with analysis of the opportunities, valuation and recommendations for internal approvals\nSupport in drafting of binding/ non-binding offers\nDocumentation, structuring, Transaction closing and Post closing\nSupport in negotiations, documentation and closing of transaction\nCoordinate with internal legal team & external lawyers, tax and functional teams\nSupport in post-closing activities including but not limited to necessary regulatory filings, stock exchange reporting, press releases and other post-closing activities\nSupport post acquisition integration and post-acquisition performance monitoring & periodic reviews.\n\nTravel Estimate\n\nModerate\n\nJob Requirements\n\nEducational Qualification\n\nMBA (Tier 1 College) or CA (First Attempt)\nUndergrad: B.Tech, BCom, BPharm, MBBS or BVSC.\n\nExperience:\n\n2 - 5 years of M&A / Transaction experience post qualification from a corporate or investment bank\n\nYour Success Matters to Us\nAt Sun Pharma, your success and well-being are our top priorities!
