The M&A Manager will report to the Head of M&A.\nExperience of leading transactions end to end, with a background of advisory and corporate development.\nProfile from within the chemical industry or close manufacturing alignment. \nWe count on you for:\nThe M&A Manager will be in charge of acquisition, divestment and joint-venture projects from project launch until signing and closing of the transaction(s)\nBusiness modeling and financial evaluation of companies in the context of mergers, acquisitions, divestment and joint-venture projects\nOverall coordination of the project team throughout the project lifecycle (set up of the team and the overall timeline, team animation and team monitoring)\nPreparation, supervision and review of the various internal and external deliverables (Teaser, Information Memorandum, Business Plan, Deal Structuring Plan, Carve-Out Matters, VDD, Virtual Data Room preparation and review, review of SPA and Ancillary Agreements…)\nIdentification and coordination of the external advisors (investment banks, M&A boutiques, strategy consultants, transaction services consultants, tax advisors…)\nCoordination of all internal stakeholders throughout the project: business teams, finance teams and representatives of the various corporate functions and shared services centers of the Group (tax, treasury, accounting, environmental…)\nClose collaboration with the M&A, Antitrust and Trademark Corporate Counsel and his team on all legal aspects of the transaction (due diligence, negotiation, contractual aspects, closing process...). The M&A Manager will participate in the entire negotiation process for the transaction(s) under his (her) responsibility\nPresentation of recommendations to the senior management of the Group\nYou can count on us for:\nA dynamic environment in a multi-disciplinary team and a variety of exciting and impactful challenging projects\nYou will bring: strong M&A experience, gained within a dedicated M&A environment. A positive outlook and exceptional communication and influence skills, developed through advisory, stakeholder management and deliver of presentations at a high level.\nEducation and Experience\nYou own a Master Degree (in General Management, Business Administration or Law), with an extra degree earned in the field of Finance and Accounting\nYou are a professional in equity-related operations (mergers, acquisitions, divestments and joint-venture projects)\nYou have a successful experience of min. 6 years gained within (i) a corporate M&A team of an industrial company (ideally in the chemicals industry, or at least manufacturing), and/or (ii) a transaction services team of a recognized audit firm, and/or (iii) an investment banking desk of a leading banking institution\nBehavioral competences\nYou are a true team player, collaborative and you are able to work in multidisciplinary and multicultural teams\nYou are well organized, structured and have strong project management skills\nYou are results driven\nYou have strong technical skills in the field of finance, accounting and M&A\nYou have strong negotiation skills\nYou are flexible in terms of travel and working hours requirements\nPersonal strengths\nResilience and calm\nConscientious and methodic\nAutonomous and pragmatic\nDynamic, reactive and flexible\nDiplomatic with high sense of confidentiality\nTrustworthy, loyal and reliable\nLanguage skills\nFluency in English\nFrench is a plus\nYou will get:\nCompetitive salary and benefits package\n16, or more, weeks of maternity/paternity and co-parenting leave, according to local regulations\nTraining platform for all employees\nAdditional information:\nAbility and willingness to travel up to 30% of the time (including overnight stays) throughout different time zones\nSmart working flexibility\nAbout us\nThis position requires a certain level of integrity, confidentiality, loyalty and trustworthiness as you will have access to Syensqo's most sensitive information or systems in the context of your mission.
