The successful candidate will lead the legal aspects of mergers, acquisitions, divestitures, strategic investments, joint ventures and partnerships, internal reorganizations and other significant strategic transactions across TD's businesses.\nThe role requires strong transaction execution capabilities, sound judgment, exceptional stakeholder management skills and the ability to balance legal risk management with commercial objectives in a dynamic, fast-paced and highly regulated environment.\nKey Responsibilities\nLead Strategic Transactions\nLead legal execution of mergers, acquisitions, divestitures, strategic investments, joint ventures partnerships, internal reorganizations and other significant strategic transactions\n\nAdvise on transaction structure, legal and regulatory considerations, governance requirements and execution strategy\n\nDraft, negotiate and oversee transaction documentation\n\nLead legal due diligence and integration planning efforts\n\nCoordinate multidisciplinary legal support across specialist practice areas\n\nAdvise Senior Leadership\nProvide strategic legal advice to senior executives and other stakeholders regarding transaction opportunities and risks\n\nPresent complex legal and business issues in a practical, concise and actionable manner\n\nSupport executive, management and board approval processes\n\nManage Legal and Regulatory Risk\nIdentify, assess and mitigate legal and regulatory risks associated with strategic transactions\n\nAdvise on applicable banking, financial services, securities, competition, privacy, employment, technology and other legal issues\n\nSupport engagement with Canadian, U.S. and international regulatory authorities, where required\n\nLead External Counsel and Internal Stakeholders\nSelect, instruct and manage external counsel\n\nDrive efficient use of legal resources and management of external legal spend\n\nCoordinate teams across Legal, Compliance, Risk, Finance, Tax, Treasury, Human Resources and business lines\n\nLead cross-functional transaction teams and influence outcomes across multiple stakeholder groups\n\nContribute to Enterprise Strategy\nSupport enterprise strategic initiatives and special projects\n\nAdvise on emerging legal developments affecting growth initiatives and transaction activity\n\nContribute to the development of legal precedents, best practices and transaction processes\n\nMentor junior lawyers and contribute to the development of the broader Legal team\n\nQualifications\nRequired Experience\nLaw degree (LL.B. or J.D.) and member in good standing of the Law Society of Ontario\n\nTypically 10+ years of experience in mergers and acquisitions, corporate transactions or corporate development matters gained at a leading law firm, financial institution or sophisticated in-house legal department (strong candidates with less than 10+ years of experience are also encouraged to apply)\n\nSignificant experience leading complex domestic and cross-border transactions\n\nExperience negotiating transaction documents and managing external counsel\n\nExperience advising senior executives and other decision-makers\n\nDesired Experience\nExperience with one or more of the following:\nFinancial institutions and banking regulation\n\nPublic company transactions and securities law matters\n\nStrategic investments and joint ventures\n\nTechnology, fintech and artificial intelligence transactions\n\nWealth management, capital markets or retail banking businesses\n\nRegulatory approval processes involving Canadian or U.S. financial regulators\n\nLeadership Competencies\nStrong commercial judgment\n\nAbility to operate effectively in a complex, highly regulated environment\n\nExecutive presence and credibility with senior stakeholders\n\nExceptional drafting and negotiation skills\n\nStrong project management and organizational abilities\n\nAbility to lead multiple concurrent transactions and competing priorities\n\nCollaborative leadership style and commitment to developing colleagues\n\nSound risk management mindset combined with business pragmatism\n\nWho We Are:\nTD is one of the world's leading global financial institutions and is the fifth largest bank in North America by branches/stores.
