Job Description:

Department Overview

The Total Rewards team provides leadership and guidance in the development and delivery of effective compensation, retirement and benefit strategies, policies, and programs that support TD Bank business and talentobjectives. The Compensation Advisory team supports all aspects of compensation, including compensation planning, governance, reporting, mergers and acquisitions, program design, incentive design, equity and other forms of long and short-term compensation, research, global mobility, and in-house consulting to our Human Resource Business Partners and business leaders. The Compensation Advisory team provides tailored compensation solutions,adviceand consultation on all aspects of total rewards.

Job Description

This role will report to the Vice President, Compensation Advisory. The successful candidate will interface with senior business executives, Corporate Development, Transactions Legal, HR Leadership, Human Resources Business Partners, and HR COEs by providing strategic direction on M&A transactions both representing general HR guidance and by providing detailed compensation recommendations at the individual level or aggregate level as applicable. The successful candidate will be a trusted advisor who will:

  • Lead the M&A due diligence activity by activelyrepresentingHR on Corporate Development deal calls;

  • Own the HR diligence workstream and be the primary liaison with Corporate Development and Transactions Legal;

  • Ensure seamless transition of the transactions to HR partners or Integration Lead, including support during the period between signing and deal closing period;

  • Complete required business case documentation and relevant financial modelling for due diligence reports including SET/Board approval of HR items;

  • Maintain the M&A framework for HR, and evolve as needed to meet shifting priorities and structures, ensuring key accountabilities are known and communicated to partners;

  • Build andmaintaintools that drive consistency,accuracyand speed;

  • Build team capability andexpertiseboth within direct team and when liaising with other partners across HR;

  • Work closely with external consultants during diligence phase as needed;

  • Operate with independence, delivering solutions with internal and external partners in response to active deal needs, while balancing with the HR and Total Rewards strategy.

Special Initiatives

  • Act as key contact and deep expert within area of expertise for the development, design and delivery of effective HR plans, policies, programs and advice in support of HR strategies.

  • Share specialized expert knowledge, provide consultation and solutions to business management and HR teams;

  • Maintain awareness of changing legal/regulatory requirements and practices within the industry and consult with policy/process owners within HR to ensure compliance;

  • Identifyopportunities to improve policies and supporting materials to increase their effectiveness for employees, people managers and HR partners while meeting compliance and businessobjectives;

  • Engage,manageand influence internal/external cross-functional partners to develop/deliver integrated solutions;

  • Facilitate learning and/or information sessions on HR programs and functions;

  • Execute on diverse and complex policies, implement and develop activities and tools for businesses, and supportpeoplestrategy and management activities.

Job Requirements

  • Possess a university degree with emphasisinbusiness management, economics, mathematics, finance or post-graduate studies in Human Resources, or equivalent work experience.

  • Advanced working knowledge of Excel, Word, and PowerPoint;

  • Proven project management skills, with an ability to provide oversight and coordination of multiple projects/changing priorities concurrently under tight timelines and with multiple stakeholders;
