(Nasdaq: WULF) is seeking an experienced Commercial Counsel to join its Legal & Compliance team. Reporting to the Senior Commercial Counsel and ultimately the Chief Legal Officer, this role will support the Company’s commercial contracting and procurement function, with primary responsibility for drafting, reviewing, and negotiating customer, vendor, supplier, and digital infrastructure-related agreements. The Commercial Counsel will partner closely with commercial, operations, engineering, finance, procurement, and other business teams to advance transactions while appropriately managing legal and business risk.\nKey Responsibilities\nCommercial Contracts & Negotiation\nDraft, review, and negotiate a broad range of commercial agreements, including customer, vendor and supplier agreements, master services agreements, statements of work, nondisclosure agreements, software and digital infrastructure-related agreements, lease and licensing agreements, consulting agreements, and other business contracts.\nNegotiate key contractual provisions, including pricing and payment terms, service levels, warranties, indemnities, limitations of liability, insurance, intellectual property, confidentiality, data protection, termination rights, and dispute resolution.\nSupport long-term and high-value transactions involving capacity commitments, multi-site deployments, and service-level obligations.\nWork directly with internal stakeholders and external counterparties to resolve legal issues and advance transactions efficiently.\nCustomer and Contract Management\nProvide legal support for supplier and customer onboarding, expansions, renewals, and amendments.\nAssist with agreements supporting HPC data center development and construction, colocation, and other technology-driven services.\nAdvise on service-level commitments, performance obligations, service credits, data security requirements, and risk allocation.\nSupport contracts related to equipment, construction, professional services, operations, maintenance, and infrastructure development.\nBusiness Partnership & Legal Guidance\nPartner with commercial, operations, engineering, finance, procurement, compliance, and security teams on contracting and related legal matters.\nProvide practical legal guidance that balances risk management with commercial objectives.\nIdentify and escalate material legal, regulatory, and commercial risks as appropriate.\nPrecedent Development & Process Improvement\nDevelop, maintain, and improve contract templates, playbooks, clause libraries, approval processes, and other contracting resources.\nSupport contract lifecycle management systems, legal workflows, and contract tracking and reporting.\nHelp improve the efficiency, consistency, and scalability of contract review and execution processes.\nMonitor contractual obligations and coordinate with business teams on renewals, amendments, and compliance matters.\nDispute & Issue Management\nAssist with the resolution of commercial disputes involving customers, vendors, contractors, and other business partners.\nSupport responses to contract performance, payment, service-level, warranty, and other commercial issues.\nCoordinate with senior legal team members and external counsel when specialized advice, litigation, or arbitration support is required.\nProtect the Company’s legal and business interests while supporting important commercial relationships.\nQualifications\nRequired\nJuris Doctor (J.D.) from an ABA-accredited law school.\nAdmitted to practice law and currently in good standing with the applicable state bar.\nMinimum of 5 years of legal experience, with a strong focus on drafting, reviewing, and negotiating commercial and real estate contracts.\nIn-house legal experience, law firm experience in a commercial transactions and real estate practice, or a combination of both.\nStrong knowledge of core commercial contract terms and risk allocation principles.\nExcellent drafting, negotiation, communication, and stakeholder management skills.\nStrong business judgment and the ability to provide practical, commercially oriented legal advice.\nAbility to manage multiple priorities, work independently, and operate effectively in a fast-paced, high-growth environment.\nHigh degree of professionalism, discretion, and integrity in handling confidential matters.\nPreferred\nExperience with energy infrastructure, data center leasing and construction, technology, or other complex business-to-business transactions and negotiating the underlying agreements.\nFamiliarity with contract lifecycle management systems and scalable legal workflows.\nComfort working in a lean legal department with broad responsibilities.\nWorking Conditions & Physical Requirements\nThis position is primarily performed in a professional office environment.
