You would be responsible for focusing primarily on government contracts and commercial transactions in a technology-based business. You'll assist senior attorneys on analyzing the various legal risks, business strategies, and other issues related to the Company’s fast-growing business. You must be diligent and proactive, show excellent business judgment and strategic thinking, along with the ability to work independently and collaboratively in a collegial, fast-paced team environment. Through this dedication to unity and professional advancement, each team member is directly impacting the successful outcome of TrellisWare’s deliverables and setting the tone for our core values of delivering excellence, pushing boundaries, and empowering people.\nThe essential duties and responsibilities include:\nDraft and negotiate a wide variety of contracts, including complex sales and services agreements, technology agreements, distribution and dealer agreements that comply with Company policies and risk tolerance.\nProvide advice to all levels of the Company in all areas, including Operations, Business Development, Finance and Engineering, advising on the legal issues and risks, deal structures, negotiation strategy, and company policies and procedures, and using legal concepts that business-minded people can understand.\nAssist with corporate governance and compliance matters.\nAssist in other transactions and matters including employment issues and export compliance.\nPerforms other duties as assigned.\nDevelops relationships with team members built on trust and respect.\nEducation and work experience requirements are:\nJuris Doctorate degree or equivalent with excellent academic credentials.\nMinimum 3-9 years of experience.\nTo be considered for this position, you would need to meet, at a minimum, the knowledge, skills, and abilities listed here:\nDemonstrated experience advising clients in structuring complex commercial transactions, including in-depth experience in contract negotiation, and drafting.\nExcellent administrative and organizational skills with attention to detail and a high degree of accuracy, together with the ability to manage several simultaneous projects under deadline pressure.\nExceptional interpersonal and communication skills, both oral and written; must be able to ask clear, concise questions involving complex technology to get requisite answers from business partners and Legal Department colleagues.\nAbility to take initiative and adapt to changing priorities in a fast-paced corporate environment.\nDemonstrates strong written communication skills.\nStrong collaborative drive and interpersonal skills.\nStrong initiative, proactive work ethic and prioritization skills.\nTrustable judgement and analytical problem-solving skills.\nEffective execution and decision making.\nChampion of change and promotes innovation.\nThe physical demands described here represent those that must be met in order to successfully perform the essential functions of this job.
