You will lead transactions from due diligence through closing while also advising clients on general corporate matters and working directly with clients.\nWhat You'll Do\nRun M&A transactions end-to-end, from due diligence through closing.\n\nDraft and negotiate purchase agreements, merger agreements, financing documents, and other transactional documents.\n\nManage due diligence processes and support private equity sponsors and portfolio companies throughout the investment lifecycle.\n\nAdvise clients on entity formations, corporate structuring, and ongoing corporate matters.\n\nWork closely with partners and take on direct client-facing responsibility.\n\nWhat We're Looking For\nFour to eight years of M&A and private equity transactional experience at a law firm, with the ability to independently run deals.\n\nA Juris Doctor degree and experience managing multiple matters and client relationships in a law firm setting.\n\nExperience with private equity-sponsored transactions, due diligence, and drafting and negotiating purchase or merger agreements.\n\nAdmission to practice in Missouri, or willingness to obtain Missouri admission.\n\nGeneral corporate experience, such as entity formation and structuring; debt financing, equity structuring, or cross-border experience is also relevant.\n\nU.S. work authorization. Visa sponsorship is not available.\n\nCompensation & Benefits\nBase salary: $205,000 to $285,000 annually.\nLocation\nHybrid role based in St. Louis, Missouri, with four days per week in the office.
