We are based in New York, Austin, Nashville and Tel Aviv.\nLocation: Remote - USA Reports to: General Counsel Salary range: [$175,000 - $200,000] base, plus equity\nRole overview\nVi is hiring a Senior Counsel to support the General Counsel in three areas: corporate governance for our Israeli parent company, corporate and equity matters across the group, and commercial contracting. The Senior Counsel will be a key legal partner across the business - facilitating customer and commercial contracting, supporting financing, M&A and corporate transactions, and providing hands-on legal advice across the full range of the company’s legal matters.\nThis is a hands-on role for a business-minded lawyer who is comfortable across Israeli and US practice.\nResponsibilities\nCommercial contracting\nDraft, review and negotiate customer, vendor, partner and reseller agreements under Vi's playbooks, escalating to the General Counsel where needed.\nSupport DPAs, BAAs and data terms in line with Vi's positions.\nHelp maintain contract templates and playbooks.\nGeneral legal support\nSupport the General Counsel and HR on employment matters, including cross-border considerations.\nHelp develop and implement internal legal policies.\nIsraeli corporate governance\nPartner with the Corporate Secretary on governance for the Israeli parent, preparing board and shareholder meeting materials, resolutions and minutes, and keeping corporate registers and Registrar of Companies filings current.\nHelp keep the company aligned with the Israeli Companies Law, including the approval process for related-party transactions.\nWork with Finance and the plan trustee on equity plan administration, including grants, exercises and related filings.\nServe as the day-to-day point of contact for Israeli outside counsel on governance matters.\nCorporate and equity\nMaintain corporate records and approvals for the parent and its US subsidiary.\nSupport equity plans, option grants, exercises, vesting, share transfers and cap table administration.\nSupport financings, secondary transactions and M&A, including diligence, data rooms, documentation and closings.\nManage shareholder requests, information rights, transfer restrictions and ROFR processes.\nRequirements\nLaw degree (LL.B. or J.D.) and admission to the Israel Bar; US (NY or CA preferred) bar admission or US-law experience an advantage.\n7+ years of post-qualification experience.\nHands-on Israeli corporate governance experience, ideally for a technology company.\nExperience with Israeli equity administration, financings and M&A.\nStrong commercial contracting experience, particularly SaaS agreements with US enterprise customers.\nFluent English;
