This is a hands-on, high-variety role. One day you're closing an enterprise MSA at quarter-end. Next you're negotiating a reseller agreement, structuring terms for a new technology partner with our BD team, tightening our API and marketplace terms, or updating a playbook after closing a complex deal. You'll own a steady flow of deals from start to finish and be the main POC to our impactful and growing Corporate GTM team, and you'll be the person the team counts on to jump in wherever the business needs it most.\nYou'll work closely with Sales, Partnerships, RevOps, Procurement, Finance, Product, Security, and Privacy to get deals done and counsel our internal stakeholders with sound, risk-balanced judgment. You'll also help scale Webflow's partner ecosystem and keep our contracting frameworks current as Webflow builds out agentic and AI-powered capabilities. We've structured the base pay ranges for this role into zones for our geographic markets, and the specific base pay within the range will be determined by the candidate’s geographic location, job-related experience, knowledge, qualifications, and skills.\nUnited States (all figures cited below are in USD and pertain to workers in the United States)\nZone A: $183,300 - $220,000\n\nZone B: $171,700 - $206,000\n\nZone C: $161,700 - $194,000\n\nThis role is also eligible to participate in Webflow's company-wide bonus program. However, please confirm the zone for your specific location with your recruiter.\nApplication Information:\nApplication deadline: applications accepted on an ongoing basis until position is closed and filled\n\nThis posting is for an existing vacancy\n\nReporting to the AGC, Head of Commercial Legal\n\nAs a Senior Counsel, Commercial Transactions you’ll:\nIndependently negotiate and close a high volume of customer agreements across SMB, mid-market, regulated, and large enterprise segments, including MSAs, Order Forms, DPAs, SLAs, NDAs, and AI addenda.\n\nSupport Webflow's partner ecosystem end to end: draft and negotiate agreements with agency and solution partners, technology and integration partners, resellers and channel partners, and referral partners, including program terms, co-selling and co-marketing, revenue share, and referral fees.\n\nWork with Partnerships and BD teams to structure, launch, and scale partner programs, keeping partner-facing templates, flow-downs, and program terms aligned with our customer paper.\n\nAdvise on API, developer, and marketplace terms (including terms for app developers and template creators), working with Product so our terms match how our platform and AI features actually work.\n\nReview and negotiate vendor agreements, including SaaS, AI-enabled tools, and services, in partnership with Procurement, Security, and Privacy.\n\nMaintain and improve templates, playbooks, fallback positions, and enablement materials so deal teams can handle routine issues themselves.\n\nServe as a go-to escalation point and provide hands-on training and enablement for Sales, Partnerships, and Deal Desk, with clear, practical guidance that weighs revenue impact, risk, and precedent.\n\nPinch-hit across the team: cover colleagues' deals, get in the trenches with our Trust & Safety team on Security and Privacy issues, and roll up your sleeves as the business evolves.\n\nUse AI tools and our contracting stack to speed up your end to end work product, with proper guardrails for accuracy, reliability, and confidentiality.\n\nAbout you:\nRequirements:\nAdmitted and in good standing in at least one U.S. jurisdiction.\n\n7+ years of post-qualification experience, including a combination of law firm training and at least 2 years in-house supporting revenue-generating teams in a hyper-growth, fast-paced tech environment.\n\nA demonstrated track record of independently drafting, negotiating, and closing B2B SaaS/PaaS agreements, including DPAs and privacy terms, as well as vendor and partnership agreements, in close partnership with Sales, Procurement, and other cross-functional stakeholders.\n\nHands-on experience supporting a partner ecosystem, such as channel/reseller, referral, technology/integration, agency, or marketplace programs.\n\nYou’ll thrive as a Senior Counsel, Commercial Transactions if you:\nAre a low-ego team player that likes to roll up your sleeves and jump in wherever needed, whatever the scope or visibility of the work.\n\nAre commercially pragmatic: you can secure the best overall deal for Webflow without winning every point, prioritizing what matters and trading the rest.\n\nUnderstand how partner economics and incentives work, and can design terms that scale across a program rather than one-off deals.\n\nBring growth-enabling, risk-balanced judgment and know when to escalate.\n\nAre comfortable being uncomfortable: you make sound calls with incomplete information and adapt quickly as priorities shift.\n\nAre AI-fluent and systems-savvy, with hands-on experience in a CLM (Ironclad or similar), DocuSign, Salesforce, Google Workspace, and Slack.\n\nCommunicate plainly and can coach sales reps, partner managers, and other stakeholders to handle routine issues on their own.\n\nStay curious and open to growth - demonstrating a proactive embrace of AI, and actively building and applying fluency in emerging technologies to elevate how we work, drive faster outcomes, and expand collective impact.\n\nOur Core Behaviors\nBuild lasting customer trust.
