The ideal candidate will have 12-20 years of experience in corporate law, legal strategy, regulatory compliance, and IPO-related activities, preferably within a SaaS or technology-driven organization.\nThis role requires a strong understanding of corporate transactions, securities regulations, fundraising, risk management, and public-market readiness. The successful candidate will work closely with the CEO, CFO, board of directors, and other senior stakeholders to ensure legal compliance, mitigate business risks, and support the company's long-term growth strategy.\nRequirements\nKey Responsibilities\n1. Legal Strategy and Leadership\nLead and manage the organization's overall legal function, aligning legal strategy with business objectives.\nProvide strategic legal counsel to the CEO, executive leadership, and board of directors on critical business decisions.\nDraft, review, negotiate, and manage commercial agreements, customer contracts, vendor agreements, partnership arrangements, and technology licensing agreements.\nEstablish robust legal policies, procedures, and internal controls to protect the organization's interests.\n2. IPO and Capital Markets\nLead and oversee legal activities related to IPO readiness, public listing, and capital-market transactions.\nCoordinate with investment bankers, external legal advisors, auditors, and regulatory authorities throughout the IPO process.\nEnsure compliance with applicable securities laws, disclosure requirements, and listing regulations.\nManage due diligence, corporate restructuring, legal documentation, and governance requirements associated with IPO preparation.\nSupport fundraising, mergers and acquisitions, strategic investments, and other corporate transactions.\n3. Corporate Governance and Compliance\nEnsure compliance with applicable corporate laws, regulatory requirements, and statutory obligations.\nOversee board meetings, shareholder matters, corporate records, and governance documentation.\nDevelop and implement compliance frameworks, risk assessment procedures, and corporate policies.\nIdentify potential legal risks and recommend appropriate mitigation strategies.\n4. SaaS and Technology Legal Expertise\nAdvise on SaaS agreements, software licensing, subscription contracts, data protection, intellectual property, and technology-related legal matters.\nReview contractual provisions related to service-level agreements, liability, indemnification, confidentiality, and data security.\nSupport legal requirements concerning digital operations, technology partnerships, and international business expansion.\n5.
