The paralegal will be an important part of the team in managing clients and maintaining relationships. The ideal candidate will be self-motivated with the ability to handle variety of responsibilities involved in formations, compliance and corporate governance, and financings.\nThis positions offers a hybrid or remote work schedule.\nKey Duties and Responsibilities:\nPrepare and file formation documents, including certificates, amendments, qualifications, and dissolutions\nDraft board minutes, board and stockholder consents, notices, and waivers\nSupport attorneys with corporate transactions, including due diligence, filings, and closing processes\nProcess stock and option administration, including drafting agreements, preparing reports, and issuing stock notices\nManage capitalization processes and records in equity management platforms, including Rule 701 analysis\nConduct research to prepare and manage corporate and securities filings\nPrepare and assist with EDGAR code applications and accounts\nCommunicate with clients, holders, directors, investors, and auditors\nProvide support for franchise taxes, annual reports, and reminders to clients\nMaintain client and entity files, minute books, and corporate records\nJob Requirements:\nBachelor’s Degree or Paralegal Certificate at accredited college or university\n4+ years of corporate paralegal experience at law firm\nStrong working knowledge of corporate tasks for private companies\nUnderstanding of corporate governance matters and transactional work\nExperience with securities and corporate laws\nExperience in capitalization management platforms such as Carta, Pulley and Shareworks\nProficient with Excel spreadsheets\nDetail-oriented and organized, with excellent analytical skills\nExcellent communication and prioritization skills to manage projects simultaneously under deadline pressure\nThe primary location for this job posting is in San Diego, but other locations may be listed. The actual base pay offered will depend upon a variety of factors, including but not limited to the selected candidate’s qualifications, years of relevant experience, level of education, professional certifications and licenses, and work location. The anticipated pay range for this position is as follows:San Diego, Austin, Boston, Boulder, Century City, Delaware, Los Angeles, Salt Lake City, Seattle, Washington, D.C., and all other locations: $43.21 - $58.46 per hour.\nNew York, Palo Alto, San Francisco: $45.48 - $61.54 per hour.\nThe compensation for this position may include overtime and a discretionary year-end merit bonus based on performance.
