The Senior Paralegal will be an integral part of the team in supporting clients with formations, financings, mergers, public offerings, and client governance.\nThis position is available as a hybrid work schedule.\nThe responsibilities include but are not limited to:\nPrepare corporate documents, such as charter documents and board and shareholder actions\nProcess stock and option administration, including drafting agreements and preparing reports\nManage capitalization processes and records in equity management platforms, including Rule 701 analysis and answering questions from clients\nConduct research to prepare and manage corporateand securities filings\nPrepare and assist with EDGAR code applications and accounts\nAssist with D&O questionnaires and proxy statements\nPerform public company governance filings and tasks, such as Section 16 reporting and legend removal requests\nCommunicate with clients, holders, directors, investors, and auditors\nHandle due diligence and closing processes\nCompile and distribute closing documents and closing volume\nAssist with annual compliance matters\nProvide support for franchise taxes and notices to clients\nHandle daily corporate maintenance work\nOrganize client records and maintain files\nInput time entry daily\nThe job requirements are:\nBachelor’s Degree or Paralegal Certificate at accredited college or university\n7+ years of corporate paralegal experience at law firm\nStrong working knowledge of corporate tasks for private companies\nSubstantive understanding of corporate governance matters and transactional work\nExperience with securities and corporate laws\nExperience in capitalization management platforms such as Carta and Shareworks\nProficient with Excel spreadsheets\nDetail-oriented and organized, with excellent analytical skills\nExcellent communication skills\nSelf-starter who can prioritize and advance multiple projects simultaneously under deadline pressure\nThe primary location for this job posting is in Palo Alto. The actual base pay offered will depend upon a variety of factors, including but not limited to the selected candidate’s qualifications, years of relevant experience, level of education, professional certifications and licenses, and work location. The anticipated pay range for this position is as follows: $56.31 - $76.19 per hour.The compensation for this position may include overtime and a discretionary year-end merit bonus based on performance.
