We're creating a powerful flywheel where more compute trains better models, better models power more useful products, and what we learn from people using those products shapes what we build next.\nABOUT THE ROLE:\nSpaceXSI's legal team plays a critical role, working closely with finance, tax, accounting, operations and engineering, to achieve our mission. This role is for someone passionate about working at the intersection of AI and law.\nAs a Corporate Counsel, you will support and lead mergers, acquisitions, joint ventures, investments, partnerships and other strategic transactions. You’ll also handle corporate governance and subsidiary management and provide counsel to multiple internal clients on a wide variety of complex legal and business issues.\nThis role is full time, five days a week, on-site and based in either Palo Alto, CA, Washington D.C., Austin, TX, or New York, NY.\nRESPONSIBILITIES:\nLead and support mergers, acquisitions, joint ventures, investments, partnerships and other strategic transactions from start to finish, including diligence, deal structuring, drafting, negotiating, executing and integrating\nPartner closely with corporate development, finance and operation teams to execute a smooth and efficient deal process\nDrive post-closing integration\nBuild processes, templates, and playbooks for mergers and acquisitions and strategic transactions \nAdvise on corporate governance, including subsidiary board matters and consents \nOversee subsidiary maintenance, including formations, dissolutions, and compliance across US and international entities \nProvide counsel on general corporate matters\nWillingness to roll up sleeves and possess a can-do attitude\nBASIC QUALIFICATIONS:\nJ.D. from an accredited law school\n6+ years in Corporate or M&A at a top-tier law firm or in-house company\nExpertise in complex corporate structures and transactions, including diligence, structuring and negotiation\nExperience representing mature private and public companies\nFlexible team player, able to adapt to rapid developments and diverse projects in a fast paced organization working with novel legal issues\nADDITIONAL REQUIREMENTS:\nMust be admitted to the bar, in good standing, in at least one U.S. State\nThis position is office-based, on-site, five days a week - remote work not considered\nMust be able to work extended hours and weekends as needed\nCOMPENSATION AND BENEFITS:\n$220,000 - $260,000 USD\nBase salary is just one part of our total rewards package at xAI, which also includes equity, comprehensive medical, vision, and dental coverage, access to a 401(k) retirement plan, short & long-term disability insurance, life insurance, and various other discounts and perks.\nITAR REQUIREMENTS:\nTo conform to U.S. Government export regulations, applicant must be a (i) U.S. citizen or national, (ii) U.S. lawful, permanent resident (aka green card holder), (iii) Refugee under 8 U.S.C. § 1157, or (iv) Asylee under 8 U.S.C. § 1158, or be eligible to obtain the required authorizations from the U.S. Department of State.
