Responsibilities

Commercial & Contract Management

  • Draft, review and support the negotiation of commercial agreements, including customer and supplier contracts, NDAs, Master Services Agreements (MSAs), Order Forms, Statements of Work (SOWs), reseller and referral agreements, and other commercial documentation.
  • Support internal stakeholders, particularly Sales, throughout the contract review and negotiation process to facilitate deal execution while protecting the company's commercial interests.

  • Maintain and update contract templates, policies, playbooks and supporting documentation.
  • Assist with legal aspects of Requests for Proposals (RFPs) and Requests for Information (RFIs), including customer contract-related queries.

Data Protection & Compliance

  • Support the company's compliance efforts in relation to applicable data protection and privacy laws, including GDPR, UK GDPR, CCPA and relevant Canadian privacy legislation.
  • Assist with customer security, privacy and compliance questionnaires and related RFP responses.
  • Work with internal teams to support privacy policies and appropriate data-handling practices.

Intellectual Property

  • Assist with the protection and management of the company's intellectual property, including software, trademarks and copyrights.
  • Review intellectual property provisions in commercial, supplier and partner agreements, seeking guidance from senior colleagues where needed.

General Legal Support

  • Provide day-to-day legal support to internal stakeholders across Sales, Customer Success, Marketing, Service Support, HR and Finance.
  • Assist with contract interpretation and queries relating to contractual rights, obligations and potential risks.
  • Support the Legal team with a range of other legal matters, including employment law, intellectual property and data privacy.
  • Coordinate with external legal counsel as required.
  • Contribute to improving legal processes, workflows and documentation.

Requirements

  • Experience as a Paralegal, Legal Executive or in a similar legal role, with strong experience drafting, reviewing and supporting the negotiation of commercial contracts.
  • A legal qualification or relevant legal training is preferred.
  • Experience with a range of commercial agreements, such as NDAs, customer and supplier contracts, and other business agreements.
  • An understanding of general legal principles and an interest in developing knowledge of data protection and privacy regulations, including GDPR.
  • Experience in the technology or SaaS industry is an advantage but is not essential.
  • Strong attention to detail, organisation and the ability to manage competing priorities.
  • A proactive, practical approach to problem-solving and a willingness to learn and develop within a collaborative Legal team.
  • Strong communication and interpersonal skills, with the ability to work effectively with stakeholders across different departments.
    • ............................The ability to work independently on day-to-day tasks while recognising when to seek guidance or escalate more complex matters.
