Role summary

Cloudflare is hiring a Global PubSec Transaction Attorney to support our public sector commercial transactions across the U.S. federal market, U.S. state and local government, and select APAC and EMEA opportunities. This attorney will partner closely with Sales, Public Sector, Finance, Deal Desk, Security, Privacy, Product, and other legal and operational stakeholders to structure, negotiate, and close complex transactions with government customers and public sector partners.

This is a hands-on role for a lawyer who can move quickly, think commercially, and bring judgment to high-volume, high-stakes deals. The right candidate combines deep public sector contracting experience with practical familiarity with cloud, software, or technology transactions; disciplined management of deadlines, dependencies, and decisions; and the ability to operate across time zones and legal regimes. 

What you will do

• Advise on and negotiate public sector commercial agreements, including federal, state, local, and quasi-government contracts.
• Support transaction strategy for public sector deals in the U.S., APAC, and EMEA, coordinating with regional legal and sales teams as needed.
• Draft, review, and negotiate MSAs, order forms, amendments, DPAs, security exhibits, procurement terms, and related transactional documents.
• Identify and resolve commercial, legal, privacy, data protection, security, and compliance issues in a practical, business-oriented way.
• Partner with internal teams to create and improve scalable contracting processes, playbooks, templates, and approvals.
• Help evaluate RFPs, RFIs, security questionnaires, and other procurement materials.
• Escalate issues appropriately and provide crisp risk-based recommendations to business partners.
• Build strong working relationships with cross-functional stakeholders in a fast-paced, high-growth environment.
• Help translate negotiated terms and procurement requirements into a complete post-award handoff: obligation, accountable owner, due date or cadence, required evidence, and escalation path for compliance management.

What you need to succeed

• JD from an accredited law school and active bar membership in at least one jurisdiction.
• 5+ years of legal experience, with substantial time spent on public sector transactions.
• Strong experience negotiating U.S. federal and/or state and local government contracts.
• Working knowledge of APAC and/or EMEA public sector or regulated commercial contracting preferred.
• Experience with SaaS, cloud services, cybersecurity, software, or technology procurement strongly preferred.
• Familiarity with government procurement concepts, public sector compliance constraints, and common deal structures.
• Excellent drafting, negotiation, and issue-spotting skills.
• Sound judgment, responsiveness, and the ability to operate independently in a highly collaborative environment.
• Eagerness to use AI in a manner that makes work more efficient but always accountable for outputs.
• Comfort balancing legal rigor with business pragmatism.

Nice to have

• Experience working at a technology company, cloud provider, or similarly fast-moving environment.
• Familiarity with global data protection frameworks and cross-border contracting issues.
• Exposure to export controls, sanctions, or public sector compliance frameworks.
• Experience creating legal enablement materials or scaling contract operations.

Compensation

Compensation may be adjusted depending on work location.

• For Washington D.C. based hires: Estimated annual salary of $150,000 - $207,000.
