At Compu Dynamics, we don’t just build infrastructure-we create the backbone of the digital future. As North America’s premier technology infrastructure design-build partner, we design, construct, and maintain mission-critical data centers for some of the world’s most innovative companies. With roots in one of the fastest-growing data center markets in the world, our growth is as intentional as our impact.
Summary
Compu Dynamics is growing fast, and the volume and complexity of our agreements has grown right along with it. NDAs, MSAs, subcontracts, customer contracts, and purchase orders come in every day, often with turnaround measured in hours.
The Corporate Counsel is our first in-house attorney and the primary legal partner to the COO. This person will own day-to-day contract review, redlining, and negotiation, build the systems and processes that keep our agreements organized and accessible, and manage our outside counsel. The goal is for this role to handle the large majority of the legal work the COO carries today, bringing forward only the judgment calls that need an executive decision. This is a hands-on role for someone who can move quickly, think like a business partner, and build a legal function from the ground up.
Essential Functions
Contract Review, Redlining & Negotiation
- Review, redline, and negotiate NDAs, MSAs, subcontractor, staffing, and vendor agreements, customer contracts, and purchase orders, typically within a few hours and same day when the business needs it.
- Negotiate directly with counterparties and their counsel, and prepare final agreements for executive signature.
- Develop and maintain standard templates, fallback positions, and a contract playbook so routine agreements move quickly and consistently.
- Use AI-assisted tools for first-pass review where appropriate, applying independent legal judgment to every document before redlines go out.
- Periodically review CDM and R&D agreements if required.
Legal Operations & Agreement Management
- Design and own a centralized, searchable system for all agreements across subcontractors, vendors, customers, and partners.
- Pull existing agreements from DocuSign, audit them, and make sure each one is coded and categorized correctly.
- Locate, rename, and file legacy agreements currently spread across OneDrive and SharePoint.
- Track renewals, expirations, notice periods, insurance requirements, and key obligations so nothing lapses or gets missed.
- Build a clear intake and review workflow, including tiered review so that only escalations and final signatures reach the COO.
Business Advisory & Risk Judgment
- Serve as the primary legal advisor to the COO and leadership team, giving clear, practical recommendations on contract risk and business decisions.
- Support insurance and risk management, including coverage requirements in contracts, certificates of insurance, and claims coordination.
- Assist Safety with OSHA matters and safety policies, and advise HR on employment matters, templates, and employee investigations as needed.
Project Terms, Estimating & Training
- Maintain consistent legal terms in proposal templates that align with customer and partner contracts.
- Review RFP and bid terms with estimating before pricing is submitted.
- Train account and project managers on key contract terms and obligations.
Disputes, Collections & Outside Counsel
- Manage disputes and claims brought by or against the company, including change-order and delay claims.
- Manage collections, including demand letters, lien and payment-bond claims, and notice deadlines.
- Coordinate with and manage outside legal counsel, including scoping work, setting expectations, and managing legal spend.
- Qualifications
Required
- Juris Doctor (JD) from an ABA-accredited law school.
- Active bar license in good standing, and licensed in Virginia or eligible to register as corporate counsel in Virginia.
- 2-7 years of commercial contracts experience, with a mix of law firm and in-house experience preferred.
- Strong experience drafting and negotiating MSAs, subcontracts, NDAs, and customer agreements.
- Working knowledge of intellectual property and trade-secret protection in commercial agreements.
- Ability to turn around high volumes of work quickly and accurately without losing sight of the bigger risk picture.
- Clear, practical communicator who can explain legal risk in business terms to executives and field leaders.
Preferred
- Experience in construction, data center, or mission-critical environments.
- Familiarity with construction contract forms such as AIA and ConsensusDocs.
- Experience negotiating with large multinational or Fortune 500 customers.
- Experience implementing or managing contract lifecycle management systems, including DocuSign.
- Background in insurance, risk management, or employment law.
- Experience building or being the first hire in an in-house legal function.
Success Factors
- Professionalism: Represents the company with credibility and composure in negotiations with customers, vendors, and outside counsel.
- Exceeding Expectations: Turns contracts around fast, anticipates issues before they become problems, and builds systems that make the whole business run smoother.
- Mutual Respect: Works as a partner to operations, sales, and leadership, not a roadblock, and treats every internal request with urgency.
- Integrity: Gives honest, independent advice, protects confidential and proprietary information, and holds a high ethical standard.
- Safety: Understands how contract terms affect safety obligations, insurance, and risk on our job sites and makes sure the company is protected.
