Key Tasks and Responsibilities:

  • Lead and support the structuring, negotiation, execution, and ongoing management of the Company’s capital structure and financing arrangements, including revolving credit facilities, term loans, bonds, private credit facilities, letters of credit, bank guarantees, and other funded and unfunded liquidity facilities.
  • Evaluate financing alternatives and develop recommendations for senior leadership regarding capital structure, liquidity, debt capacity, financing costs, maturity profiles, covenant flexibility, and other strategic financial considerations.
  • Negotiate key commercial and financial terms with banks, lenders, investors, and other capital providers, working closely with internal and external legal counsel on credit agreements, commitment documentation, fee arrangements, security and guarantee structures, and other financing documentation.
  • Manage the Company’s global letter of credit and bank guarantee capacity, including facility sizing, utilization, issuance capacity, counterparty allocation, collateral requirements, pricing, and coordination with operating businesses to ensure sufficient capacity to support project execution and commercial requirements.
  • Maintain and develop relationships with banks, institutional lenders, bond investors, private credit providers, and other capital providers to support the Company’s financing requirements and maintain access to diversified sources of liquidity and credit capacity.
  • Support capital markets transactions from initial strategy through closing, including financial analysis, transaction structuring, lender and investor diligence, management presentations, financing documentation, syndication and marketing processes, and closing activities.
  • Lead or support the Company’s credit rating agency relationships and ratings processes, including preparation of rating agency presentations, financial forecasts, liquidity analyses, leverage and credit metrics, and responses to rating agency diligence.
  • Support the Company’s investor relations activities, including preparation and review of financial analyses, investor presentations, earnings materials, management talking points, and other communications regarding financial performance, liquidity, capital structure, cash flow, and strategic initiatives.
  • Develop and maintain financial models and analyses supporting financing and strategic decisions, including liquidity forecasts, debt and interest expense projections, leverage and coverage calculations, covenant analyses, cash flow forecasts, and scenario/sensitivity analyses.
  • Monitor compliance with debt agreements and other financing arrangements, including financial covenants, baskets, restricted payment capacity, indebtedness limitations, liquidity requirements, reporting obligations, and other relevant provisions.
  • Partner with Legal, Accounting, Tax, FP&A, Commercial, Project Finance, and business leadership to evaluate the financial and liquidity implications of major transactions, project requirements, acquisitions, divestitures, restructurings, and other strategic initiatives.
  • Support transaction-related financing requirements, including evaluation and execution of replacement or backstop letters of credit, guarantees, collateral arrangements, and other financing solutions required in connection with acquisitions, divestitures, project awards, or corporate transactions.
  • Manage corporate liquidity and short- and medium-term cash forecasting, including assessment of available cash, borrowing capacity, restricted liquidity, working-capital requirements, and anticipated financing needs.
  • Monitor financial and capital markets for developments affecting the Company’s financing strategy, including interest rates, credit spreads, bank and institutional lending conditions, bond markets, and other relevant sources of capital.
  • Prepare and present financial analyses and recommendations to senior leadership and other key stakeholders, translating complex financing and capital markets matters into clear business implications and actionable recommendations.
  • Coordinate with external financial advisors, investment banks, commercial banks, legal counsel, rating agencies, and other professional advisors in connection with financing and strategic transactions.
  • Provide leadership, development, and mentorship to Treasury professionals, while establishing appropriate processes, controls, policies, and governance over Treasury activities.
  • Maintain appropriate Treasury policies, procedures, controls, documentation, and regulatory compliance requirements.
