Course Title: Focus Week Workshop 1: Anatomy of A Deal

Location: Chancellor Day Hall

Course Description: Beginning with an overview of both the buyer’s and the target company’s strategic and financing options, the course leads students through the practical, legal and business steps of completing an M&A transaction. Students will learn enterprise valuation methods, how law firms use project management in M&A matters and how corporate lawyers participate in the due diligence process of an acquisition and integrate AI and other technology tools in this process. Students will learn the central role tax considerations play in structuring an M&A transaction. Finally, students will simulate the negotiation and will draft or analyse key provisions of the main transaction agreements.

TQR: At a minimum, a first degree in law. Several years of significant practice or professional experience, in the relevant area; Experience in teaching undergraduate law students in a bilingual setting.
