Senior Legal Counsel – Corporate

Reporting into the VP Legal, this is an outstanding opportunity for a commercially minded corporate lawyer to join a high-performing international legal team at a time of continued growth and transformation.

The role offers exposure to a diverse portfolio of complex corporate transactions, strategic initiatives and commercial matters across multiple jurisdictions. Working closely with senior stakeholders across the business, you will act as a trusted adviser on M&A, corporate governance, commercial contracts and legal risk management, helping to drive business growth while ensuring legal and regulatory compliance.

Role Responsibilities

Corporate & Transactional Advisory

• Lead and support a broad range of corporate transactions including mergers and acquisitions, disposals, joint ventures, restructurings and other strategic projects.
• Manage transactions through the full lifecycle, from initial structuring and due diligence through to completion and post-completion integration.
• Draft, review and negotiate key transaction documentation, including share purchase agreements, shareholder agreements, joint venture agreements and related corporate documentation.
• Advise on corporate governance, group structure matters and company secretarial requirements connected to transactions.

Commercial & Operational Support

• Draft, negotiate and advise on a wide range of commercial contracts across the business.
• Partner with operational teams and central functions on day-to-day legal matters, policies and terms and conditions.

Who You Are

• Qualified solicitor, barrister or equivalent lawyer with 4+ years’ post-qualification experience gained within a leading law firm and/or in-house environment.
• Strong corporate and transactional experience, including exposure to M&A, corporate reorganisations, joint ventures and strategic projects.
• Experience drafting and negotiating complex commercial and transactional documentation.
• Comfortable managing matters independently while working effectively as part of a collaborative team.
• Commercially astute with the ability to provide pragmatic, business-focused advice.
• Strong stakeholder management skills with experience engaging senior business leaders.
• Excellent communication, negotiation and analytical skills.
• Adaptable, proactive and able to thrive in a fast-paced, international environment.
• A solutions-oriented mindset with the confidence to balance legal risk against commercial priorities.
