Here’s the Gist:

Wolfspeed is seeking a highly motivated and experienced Executive Compensation Analyst to support the design, administration, governance, and communication of executive and director compensation programs. This role serves as a key member of the Total Rewards team and partners closely with executive leadership, Legal, Finance, Payroll, Internal Audit, Investor Relations, and external advisors to ensure effective administration of executive compensation programs and compliance with applicable regulations.

The successful candidate will play a critical role in supporting the Compensation Committee of the Board of Directors, preparing executive compensation analyses, coordinating proxy disclosures, administering equity compensation for executives and directors, and ensuring compliance with Section 16 and other regulatory requirements. This position requires exceptional analytical capabilities, attention to detail, business acumen, and the ability to communicate effectively with senior leaders and Board members.

The Day-to-Day:

Executive Compensation Administration

  • Support the design, implementation, administration, and governance of executive compensation programs, including annual and long-term incentive plans.
  • Administer executive and director compensation programs, including cash compensation, annual incentive awards, equity awards, and other compensation arrangements.
  • Conduct market benchmarking and competitive analyses to assess executive compensation practices and support compensation recommendations.
  • Analyze executive compensation data and develop materials to support compensation decisions and program design.

Compensation Committee Support

  • Lead the preparation, coordination, and distribution of Compensation Committee meeting materials.
  • Develop executive compensation analyses, presentations, and supporting documentation for Compensation Committee review.
  • Present executive compensation information and analyses during Compensation Committee meetings.
  • Coordinate meeting logistics, track action items, and ensure timely execution of Compensation Committee decisions.
  • Support ongoing communication with Compensation Committee members and external advisors.

Proxy Statement and Disclosure Support

  • Coordinate preparation of executive compensation disclosures for the annual proxy statement.
  • Support development and review of Compensation Discussion and Analysis (CD&A) content and executive compensation tables.
  • Partner with Legal, Finance, Investor Relations, and external consultants to ensure accuracy and completeness of disclosures.
  • Assist with preparation of compensation-related information for SEC filings, annual reports, and other public disclosures.
  • Support shareholder engagement activities related to executive compensation and Say-on-Pay matters.

Section 16 and Executive Governance

  • Manage Section 16 compliance activities, including monitoring reporting obligations and coordinating required filings.
  • Support preparation and review of Forms 3, 4, and 5 and related executive officer and director reporting requirements.
  • Maintain executive officer and director compensation records and governance documentation.
  • Monitor regulatory developments and emerging executive compensation trends and communicate potential impacts to leadership.
  • Ensure compliance with applicable SEC, stock exchange, tax, accounting, and corporate governance requirements.

Executive and Director Equity Compensation

  • Oversee equity compensation administration for executive officers and members of the Board of Directors.
  • Coordinate executive and director equity grant processes, including approvals, award documentation, and reporting.
  • Support preparation of Compensation Committee and Board materials related to equity awards.
  • Partner with Legal and Finance to ensure compliance with all executive and director equity compensation requirements.

Cross-Functional Partnership

  • Partner closely with Legal, Finance, Payroll, Internal Audit, Investor Relations, HR Business Partners, and external consultants.
  • Support annual compensation planning activities and special executive compensation projects.
  • Develop and maintain executive compensation policies, procedures, controls, and governance documentation.
  • Participate in compensation-related due diligence, mergers and acquisitions activities, and other strategic initiatives as needed.

  • Bachelor's degree in Human Resources, Finance, Accounting, Business Administration, or a related field.
  • years of experience in executive compensation, broad-based compensation, corporate governance, or a related field.
  • Experience supporting Compensation Committee and Board of Director activities.
  • Experience preparing and presenting executive compensation analyses and recommendations to senior leaders.
  • Experience supporting proxy statement preparation and executive compensation disclosures.
  • Knowledge of SEC regulations, Section 16 requirements, and executive compensation governance practices.
  • Strong analytical and financial modeling capabilities.
  • Advanced Microsoft Excel and PowerPoint skills.
  • Exceptional written, verbal, and presentation skills.
  • Ability to handle highly confidential information with professionalism and discretion.
  • Strong project management and organizational skills with the ability to manage multiple priorities and deadlines.

Preferred Qualifications

  • Public company executive compensation experience.
  • Experience working directly with Compensation Committees and Boards of Directors.
  • Experience supporting proxy statement development, CD&A preparation, and shareholder disclosures.
  • Knowledge of equity compensation programs and executive equity administration.
  • Familiarity with Section 16 reporting and SEC filing requirements.
  • CCP (Certified Compensation Professional) designation or progress toward certification.

Experience working with external executive compensation consultants and legal advisors.
