Job Title: Senior Legal Counsel

Location: Istanbul | Turkey

Employment Type: Full-time regular

The Job

The Senior Legal Counsel will support AVEVA’s EMEA sales organisation by leading the review, drafting and negotiation of complex Cloud/SaaS/software and related services transactions, with responsibility for supporting both indirect/channel sales and direct sales activities across the region.

This is a senior individual contributor role for an experienced, pragmatic commercial lawyer who can operate with significant autonomy, partner closely with business stakeholders, and drive negotiations to timely closure while balancing legal risk with commercial objectives.

The Senior Legal Counsel will collaborate closely with colleagues across EMEA and with counterparts in the Americas and Asia Pacific, and will advise on compliance with applicable laws, regulations and AVEVA policies relevant to the role’s scope.

Key Responsibilities

  • Lead end-to-end negotiation strategy and execution for complex EMEA commercial transactions, progressing matters efficiently from first review to signature.

  • Draft, review and negotiate a broad range of customer, partner and supplier agreements, including (as applicable):

    • SaaS / Cloud agreements, software licences, order forms and amendments

    • Professional services, consulting and statements of work

    • Support and maintenance terms

    • Indirect/channel agreements (including reseller and distributor models) and strategic teaming arrangements

    • Prime/subcontractor and other back-to-back/flow-down contracting structures

    • NDAs and other inbound commercial agreements

    • RFP/RFQ support and contracting input into bid processes

  • Provide practical, business-oriented legal and commercial advice by translating legal concepts and risk into clear options and recommendations for Sales, Finance, Services, Product, Security and other stakeholders.

  • Operate within AVEVA’s approval matrix, contracting policies and playbooks, escalating appropriately and proposing risk-based pathways to signature where non-standard terms arise.

  • Maintain a working knowledge of, and support compliance with, applicable laws and regulations relevant to the role’s remit, as well as AVEVA group policies and contracting standards.

  • Coordinate with internal subject matter experts and manage relationships with external counsel as required.

  • Identify recurring contracting issues/pain points and propose practical solutions and standard positions to improve speed, quality and consistency.

  • Lead or support continuous improvement initiatives (e.g., playbooks, clause libraries, training/enablement, and process/systems enhancements).

  • Build strong working relationships across Legal and the wider business, acting as a trusted, responsive point of contact for assigned stakeholders.

  • May be required to provide ad-hoc support on local non-commercial legal matters as needed to meet business priorities, working with relevant subject matter experts where appropriate.

  • Support special projects and other tasks as assigned.

Skills and Experience

  • Qualified lawyer authorised to practise in at least one jurisdiction.

  • 8 - 12 years PQE with progressive, relevant commercial experience gained in a reputable law firm and/or in-house in an international environment.

  • Significant experience drafting and negotiating complex technology agreements, including cloud/SaaS/software and related professional services.

  • Experience working internationally and on cross-border matters; comfortable coordinating inputs across multiple jurisdictions and stakeholder groups.

  • Ability to quickly identify and analyse issues, form a view, and offer pragmatic, risk-based advice aligned to business objectives.

  • Strong attention to detail and a clear commitment to excellent internal client service.

  • Excellent written (including contract/legal drafting) and oral communication skills in English; professional fluency in another language is a plus.

  • Strong stakeholder management skills, with the ability to influence and collaborate effectively with diverse, cross-functional teams.

  • Highly organised; able to manage multiple matters simultaneously and perform well under deadline pressure.

  • Self-starter who can work independently with minimal supervision, while escalating appropriately and keeping stakeholders aligned.

Working Arrangement / Travel

This role is based in AVEVA’s Istanbul office with a hybrid working arrangement (3 days in the office). Occasional travel may be required for key projects and customer/partner negotiations
