Position Overview

The Associate Counsel - Contracts is an early-career licensed attorney responsible for supporting the drafting, review, redlining, negotiation, and management of a broad range of commercial agreements on both the customer and vendor sides of transactions. Reporting to the Senior Contract Attorney, this role works closely with the legal team and business stakeholders to support timely contract preparation, practical problem resolution, and compliance with contractual obligations. The position is intended for an attorney with 1-2 years of relevant legal experience who can handle routine and moderately complex contract matters within established guidance, develop sound commercial judgment, and recognize when non-standard or higher-risk issues should be escalated.

What You'll Do

    • Draft, review, redline, and negotiate routine and moderately complex commercial agreements on both the customer and vendor sides of transactions, using company templates and established guidance.

    • Review contract terms for clarity, consistency, legal and business risk, and alignment with organizational policies and practices; identifynon-standard or higher-risk issues requiring additionalreview or escalation.

    • Participate in written and verbal negotiations with counterparties and counsel, help resolve redlines, and support agreements through execution.

    • Review common commercial terms, including indemnification, limitation of liability, termination, intellectual property, confidentiality, privacy and data protection, security, and related provisions, seeking guidance when issues exceed established parameters.

    • Maintain regular communication with the Senior Contract Attorney and legal team regardingcontractual terms, risk positions, negotiation strategy, and matters requiring approval or escalation.

    • Work closely with business stakeholders to understand commercial objectives, communicate contractual risks and alternatives clearly, and translate business requirements into appropriate contractterms.

    • Support the contract lifecycle from intake through execution, including version control, stakeholder approvals, signatures, recordkeeping, status tracking, and maintenance of organized contract documentation.

    • Use contract management systems, databases, and AI-enabled legal technology to support contract review, drafting, redlining, analysis, and contract management in accordance withcompany policies and practices.

    • Conduct legal research on commercial contracting issues as needed and communicate findings and recommendations to the Senior Contract Attorney and legal team.

    • Exercise sound judgment and initiative within established policies and guidance, while recognizing when a matter should be escalated to more senior legal counsel or another subject-matter resource.

    • Stay current on legal developments and contracting practices relevant to the role and contribute ideas for improving contract templates, processes, consistency, and efficiency.

What You'll Need to Succeed

    • Juris Doctor degree from an accredited law school and active membership in good standing in at least one U.S. state bar.

    • 1-2 years of relevant legal experience, preferably involving commercial contracting.

    • Experience drafting, reviewing, redlining, or negotiating commercial agreements.

    • Experience using AI-enabled tools for contract review, drafting, redlining, or analysis is preferred, together with an interest in developing proficiencywith legal technology.

    • Strong analytical and legal research skills with close attention to detail and accuracy.

    • Excellent written and verbal communication skills, including the ability to explain legal and contractual issues clearly to non-lawyers.

    • Ability to organize and prioritize work effectively, manage multiple matters, and meet deadlines.

    • Sound judgment, a willingness to seek guidance and accept feedback, and the ability to develop increasing independence as experience grows.

    • Proficiencyin Microsoft Office Suite and the ability to learn and use contract management software, database systems, and related legal technology.

    • Demonstrated ability to work collaboratively with legal and business teams and build productive working relationships across the organization.
