Corporate Commercial Legal Counsel

Weareseekingan experienced CorporateCommercialLegalCounsel toprovidestrategic legalsupportacrossabroadrangeofcorporateandcommercialmatters,whilealsooverseeing corporate secretariat responsibilities. The successful candidate will act as a trusted business partner to senior managementand cross-functionalteams, supporting complextransactions, governance matters, commercial negotiations and day-to-day legal operations.

Youwillbeprimarilyresponsiblefor:

·Draft, review and negotiate a wide range of commercial agreements, including serviceagreements,procurementcontracts,NDAs,partnershipagreementsand technology-related contracts.

·Providelegaladviceoncorporateandcommercialmattersaffectingthebusinessand its operations.

·Lead and coordinate corporate secretariat matters, including board and committee meetings,preparationofagendasandminutes,maintenanceofstatutoryrecordsand corporate filings.

·Coordinateshareholdermatters,powersofattorney,delegatedauthoritiesand internal approvals.

·Adviseonlegalrisksandprovidepractical,business-orientedsolutions.

·SupportM&Atransactions,corporaterestructuringsandstrategicprojects,including legal due diligence and transaction documentation.

·Liaisewithexternalcounsel,regulators,corporateserviceprovidersandother stakeholders where required.

·Monitorlegalandregulatorydevelopmentsandassesstheirimpactonthebusiness.

·Providelegalsupporttovariousbusinessfunctions,includingfinance,procurement, sales and operations.

Knowledgeandexperience

·Qualifiedlawyerwithstrongacademiccredentialsandadmissiontopracticeina relevant jurisdiction, with at least 8 years of relevant professional experience.

·Significantpost-qualificationexperienceincorporateandcommerciallaw,preferably gained in a reputable law firm and/or multinational corporate environment.

·Provenexperienceincorporategovernanceandcorporatesecretariatresponsibilities.

·Strongexperienceindraftingandnegotiatingcomplexcommercialagreements.

·Experienceincross-bordertransactionsandinternationalbusinessenvironmentswill be considered an asset.

·Excellentanalytical,communicationandstakeholdermanagementskills.

·Abilitytoworkindependently,managemultipleprioritiesandprovidepragmaticlegal advice in a fast-paced environment.
