About the Role:
Trial Library is seeking a Senior Contracts Manager to own the Company’s contracting function. You will be the primary legal point of contact for contracting and legal operations for the company. You will own the contract lifecycle from intake through drafting, negotiation, execution, and post-signature obligations, and administer our CLM platform. The right candidate is a passionate self-starter who thrives in a fast-paced healthtech environment and intelligently balances legal, regulatory, and compliance risk against business value. You genuinely love establishing administrative legal processes and advancing contracts, with an ability to move quickly without sacrificing precision.
Your Responsibilities:
Draft from scratch, review, redline, and negotiate customer, vendor, partnership, and client agreements. These include MSAs, SOWs, NDAs, BAAs, DPAs, data sharing agreements, licensing agreements, API and technology partner agreements, revenue share agreements, healthcare provider network agreements, and ad hoc agreements, as well as amendments, change orders, renewals, and terminations.
Partner with stakeholders to understand deal scope, objectives, and risk tolerance, and translate business needs into clear, enforceable contract language.
Over time, represent Trial Library directly with commercial partners. This includes joining partner meetings and calls, leading live negotiations, and advancing deals to signature on the Company’s behalf.
Advise business leaders on contractual rights and obligations, IP and data rights, and risk mitigation in plain business language.
Escalate non-standard terms, data protection and security requirements, and legal or regulatory risks to the Head of Legal, with a recommended position.
Monitor new and changing laws, regulations, and industry standards affecting our contracts, and make recommendations to update templates, playbooks, and fallback language before changes take effect.
Prepare a deal sheet for each executed commercial contract that summarizes key terms, obligations, and risks for the teams responsible for performance.
Negotiate high-risk healthtech contracts, including HIPAA business associate agreements and PHI/PII privacy, data-sharing, and security terms; fair-market-value compensation, revenue-share, and referral arrangements compliant with the Anti-Kickback Statute, Stark Law, and EKRA; and liability, indemnification, limitation of liability, warranties, insurance, IP, and AI data-use provisions.
Serve as administrator and SME for our CLM platform, including templates, workflows, user permissions, reporting, enhancements, troubleshooting, and user training.
Manage contract intake to meet business deadlines, and track obligations, renewals, and compliance.
You’ll partner with the Head of Legal to build and maintain templates, playbooks, fallback language, and contracting policies and processes the function needs to scale.
Identify opportunities to improve contracting workflows, reporting, and metrics.
Support other legal and cross-functional projects as assigned by the Head of Legal.
