Legal Counsel (Corporate Housekeeping and Licensing)

What you'll do

• Provide clear and actionable counsel to the business on a broad range of legal and regulatory issues involving corporate governance, corporate housekeeping, and licensing across all entities in the group.
• Maintain and keep current the corporate records of every entity in the group, including articles of incorporation and by-laws, stock and transfer books, board and stockholder minutes and resolutions, secretary's certificates, and general information sheets.
• Prepare and file corporate and regulatory submissions with the SEC, BSP, BIR, LGUs, and other agencies, including annual reportorial requirements, amendments to constitutive documents, increases in authorized capital stock, changes in directors and officers, and beneficial ownership filings.
• Drive licensing efforts end to end across the group's regulated entities, covering new applications, variations, renewals, and notifications before the BSP, SEC, and other domestic and foreign regulators, including preparation of application dossiers and responses to regulator queries.
• Manage the corporate approvals and documentation for group transactions, including intra-group restructuring, incorporation and dissolution of entities, share transfers, capital injections, and cross-border structuring.
• Track and calendar the corporate and licensing deadlines of all group entities and escalate risks of non-compliance early.
• Provide practical advice on legal issues and risks in a risk-tolerant, but compliance-oriented environment, including the impact on the company's long-term strategy for business.
• Serve as part of a multi-jurisdiction international legal team, coordinating with external counsel and corporate secretarial providers in other jurisdictions.
• Draft, review, and negotiate a range of commercial contracts, such as but not limited to vendor contracts and investment agreements.
• Attend case conferences and hearings with courts and government agencies.
• Other responsibilities not listed here but reasonably assumed to be a function of the role, including other business lines and matters as may be assigned by the Chief Legal Officer.

What we expect from you

• Minimum 1 to 5 years of post-qualification experience in general corporate law, corporate secretarial practice, and regulatory compliance in the Philippines.
• Familiarity with, and a working knowledge of, key government organizations such as the BSP, SEC, BIR, AMLC, and LGUs will be essential. Prior experience with BSP licensing is a strong advantage.
• Meticulous attention to detail, with proven ability to manage documents and deadlines across multiple corporate entities at once.
• Excellent judgment, analytical rigor, clear communication, and business pragmatism.
• A good team player, agile, and can adapt to a fast-paced, high-intensity environment.
• Motivated self-starter with a passion for payments and cryptocurrency and requires minimal supervision.
• Fluency in English with outstanding writing and communication skills.
